1. Acceptance of Terms

By downloading, installing, or using the Lynx mobile application ("App") or accessing our website and services ("Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Services.

2. Description of Service

Lynx is a private meetup coordination platform for small groups. The Services enable users to create and manage invite-only or broadcast events, send invitations, track responses and attendance, and maintain a reliability score based on responsiveness. The Services are provided "as is" and we reserve the right to modify, suspend, or discontinue any part of the Services at any time.

3. Account Registration and Eligibility

You must create an account to use certain features of Lynx. You agree to provide accurate, current, and complete information during registration and to update such information as needed. You must be at least 13 years of age to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. User Conduct

You agree not to:

• Use the Services for any illegal purpose or in violation of any laws
• Harass, abuse, or harm other users
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Attempt to gain unauthorized access to the Services, other accounts, or computer systems
• Use the Services to send spam or unsolicited communications
• Scrape, crawl, or use automated means to access the Services without our permission

We reserve the right to suspend or terminate your account for violation of these Terms.

5. User Content

You retain ownership of content you create or upload (e.g., event details, messages). By using the Services, you grant us a non-exclusive, royalty-free, worldwide license to use, store, display, and process your content solely to provide and improve the Services. You represent that you have the right to share such content and that it does not violate any third-party rights.

6. Intellectual Property

The Lynx name, logo, and all related trademarks, designs, and content are the property of Lynx or its licensors. You may not use our trademarks or branding without our prior written consent. The Services, including their design, features, and software, are protected by intellectual property laws.

7. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the practices described in the Privacy Policy.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYNX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend, and hold harmless Lynx and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

You may terminate your account at any time through the in-app settings. We may suspend or terminate your account or access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive (including disclaimers, limitation of liability, and indemnification) shall survive termination.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to conflict of law principles. Any dispute arising from these Terms or the Services shall be resolved through binding arbitration or in the courts of the applicable jurisdiction, as permitted by law.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms in the App or on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services and may delete your account.
